Terms of Service

The terms that apply to use of this website and to online orders for Smart Learning System.

Institutional orders. Orders placed through this site are governed by the Smart Learning System Pilot Subscription Agreement, which is presented for review and acceptance at checkout before any payment is taken. Where these Terms and that agreement conflict, that agreement controls for the order concerned.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Baya Data and AI LLC ("Baya", "we", "us"), a Washington limited liability company. By using bayadataai.com or placing an order for Smart Learning System (the "Service"), you agree to these Terms. If you are agreeing on behalf of an institution, you represent that you are authorised to bind that institution.

2. The Service

Smart Learning System is a course-grounded AI learning platform that integrates with an institution's learning management system by LTI 1.3. It is licensed to institutions for use in identified for-credit courses, and made available to the enrolled students, instructors, and teaching assistants of those courses for the institution's educational purposes.

3. Licence and restrictions

Subject to these Terms and to timely payment, we grant a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term, in the licensed course or courses. You may not resell the Service, use it outside the licensed courses, reverse engineer it, attempt to circumvent its security, or use it to build a competing product.

4. Fees and billing

  • Fees are charged per enrolled student per month at the rate shown on our Pricing page for the licensed scope.
  • Fees are billed monthly in arrears, calculated from the actual number of students enrolled in the licensed course as recorded in your LMS for that month.
  • No fee accrues for a calendar month in which the licensed course is not in session.
  • Fees exclude taxes. Applicable sales or use tax is added at invoicing. We will not collect such taxes where a valid exemption certificate is provided.
  • Payment is by card through Stripe, or by invoice on net-30 terms at our discretion.
  • Rates published on the Pricing page are fixed through December 31, 2026. Later changes take effect on sixty (60) days' notice and only for courses not then in session.

5. Term and termination

A subscription continues until terminated in accordance with the applicable agreement. Either party may terminate for material breach that remains uncured after written notice. On termination, access ends and we return or delete institutional student data within sixty (60) days, except where retention is required by law. Fees accrued before termination remain payable.

6. Your responsibilities

You are responsible for: obtaining any institutional approvals required to deploy the Service; ensuring you have the right to upload the course material you provide; the accuracy of enrollment data supplied by your LMS; and the conduct of users under your accounts.

7. Intellectual property

We retain all right, title, and interest in the Service. You retain all right, title, and interest in your course materials and student data. You grant us a limited licence to host and process your course materials solely to operate the Service for the licensed courses. Feedback you choose to give us is voluntary and may be used without restriction, provided it discloses no confidential information or student data.

8. Privacy and student data

Our handling of personal information, including student education records and our FERPA school-official role, is described in our Privacy Policy, which forms part of these Terms.

9. Acceptable use

The Service must not be used to violate law or institutional policy, to infringe intellectual property, to upload malicious code, to attempt unauthorised access, or to submit personal information of individuals unrelated to the licensed courses.

10. AI-generated output

The Service uses artificial intelligence to generate responses from course material. Output may be incomplete or incorrect and should not be treated as authoritative. It does not substitute for instruction, and academic decisions remain the responsibility of the institution and its instructors. Users remain subject to their institution's academic integrity policy.

11. Warranties and disclaimers

We warrant that we will provide the Service in a professional and workmanlike manner. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Our aggregate liability arising out of or relating to the Service will not exceed the fees paid or payable by you for the Service in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to a party's confidentiality obligations, to our data protection obligations, or to liability that cannot be limited by law.

13. Website content

Content on this website is provided for general information. Pricing examples and estimates are for planning and do not constitute a binding offer. A written price estimate and the applicable agreement govern any order.

14. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. Public institutions may require their own governing-law terms; we will address that in the applicable agreement.

15. Changes

We may update these Terms. Changes are effective when posted, except that changes materially affecting a licensed institution will be communicated to that institution.
